1. Acceptance of Terms

By accessing or using the Auctioneer application (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you may not use the Service.

2. Service Description

Auctioneer is a software platform that automates the collection and analysis of price and order information from WhatsApp messages sent to our business number. The Service is intended for business use only.

3. User Obligations

You agree to:

  • Use the Service in compliance with applicable laws and regulations.
  • Only send messages and attachments to Auctioneer’s designated WhatsApp number that are relevant to business transactions (e.g., orders, price lists).
  • Not misuse or interfere with the integrity or performance of the Service.

4. Data Collection and Use

We only process messages sent to our WhatsApp business number. These may include:

  • Text content
  • PDFs, Excel files, and images

Attachments may be stored securely in Azure Blob Storage. Message data may be logged in Azure Cosmos DB for processing, reporting, and internal analytics. We do not access personal device messages, contacts, or apps.

5. Account & Access

In cases where access credentials are provided (e.g., API keys), you are responsible for maintaining their confidentiality. You must notify us immediately if you suspect unauthorized access. 

6. Intellectual Property

All content, trademarks, logos, and data within the Auctioneer platform are the intellectual property of Auctioneer BV or its licensors. You may not reproduce or redistribute content without written permission.

7. Limitation of Liability

Auctioneer BV shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Any message or data lost due to sender error or platform limitations
  • Service disruptions caused by external systems (e.g., WhatsApp, Azure)

8. Termination

We may suspend or terminate access to the Service if you violate these Terms or engage in fraudulent or abusive behavior.

9. Changes to Terms

We may update these Terms from time to time. Any updates will be posted on our website. Continued use of the Service after updates constitutes acceptance.

10. Governing Law

These Terms shall be governed by the laws of Belgium. Any disputes will be resolved in the courts of Antwerp, Belgium.
